Terms of Service for Athena

Effective Date: December 1, 2024 These Terms of Service (“Terms”) govern your use of Athena (“we,” “us,” “our”) and our services (“Service”). By accessing or using Athena, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Prohibited Uses

You agree not to:
  • Use Athena to develop, enhance, or operate a competing product or service.
  • Access Athena for business purposes if you are an employee, contractor, or representative of a competing service.
  • Use the Service in any way that violates applicable laws or regulations, directly or indirectly.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Register more than one API key at any one time, unless authorized.
  • Attempt to circumvent any restrictions or limits placed on your API key or account.
  • Use the Service to reproduce or republish copyrighted material.

2. Indemnification

You will indemnify and hold Athena harmless against any third-party claims, liabilities, or expenses incurred (including reasonable attorneys’ fees), as well as amounts finally awarded in a settlement or by a court arising from any claim or allegation by a third party arising out of:
  1. Allegations that your usage of Athena’s service infringes or misappropriates any trademark, copyright, or other intellectual property of any third party;
  2. Athena’s services that are modified by you if the alleged infringement relates to such modification;
  3. Athena’s services that are combined with any product, process, or materials where the alleged infringement relates to such combination;
  4. Your use of a version of Athena’s services other than the version that was current at the time of such use; or
  5. Your breach or alleged breach of any of your obligations or representations under this Agreement.

3. Disclaimer of Liability

Athena is not responsible for the actions, omissions, or content of its users. You agree to use the Service at your own risk. The parties acknowledge that the API, Content, and any services are provided “AS IS.” Except for bodily injury, Athena and its licensors disclaim all warranties relating to the API or any services, express or implied, including, but not limited to, any warranties against infringement of third-party rights, merchantability, and fitness for a particular purpose. Athena is not responsible for the actions, omissions, or content of its users. You agree to use the Service at your own risk.

4. Copyright Infringement

If you believe that your copyrighted work is accessible on the Service in violation of your copyright, you may provide our Designated Agent with a written communication as set forth in the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512(c)(3) that contains the following:
  • A description identifying in sufficient detail the copyrighted work or intellectual property that you claim has been infringed.
  • An electronic or physical signature of the person authorized to act on behalf of the copyright owner.
  • A statement by you that you have a good-faith belief that the disputed use is unauthorized by the copyright owner, its agent, or the law.
  • A statement by you, under penalty of perjury, that the above information in your notice is accurate and that you are authorized to act on the copyright owner’s behalf.
  • Your name, mailing address, telephone number, and email address.

5. Refund and Cancellation Policy

  • You may cancel your monthly or annual subscription at any time.
  • Athena will not refund subscription fees for the current or previous periods unless previously agreed.
  • Your access to Athena will remain enabled until the end of the current paid period.

6. Payment

  • By selecting a paid plan, you agree to pay Athena the monthly or annual subscription fees indicated for that service. Payments will be charged on a pre-pay basis on the day you sign up for a paid plan and will cover the use of that service for the indicated period.
  • You represent and warrant that you are authorized, or have the permission of the authorized signatory of the payment method provided to Athena, to pay any fees incurred from use of the Service.
  • Unless you notify Athena before the end of the applicable subscription period that you want to cancel a paid account, your paid subscription will automatically renew, and you authorize us to collect the then-applicable subscription fee (as well as any taxes) using any payment method we have on record for you.

7. Data License

As part of the Athena Service, Athena collects and generates certain Data by aggregating information from publicly available web pages using proprietary technology. This Data does not contain any personally identifiable information.

Data Use Restrictions

  • You will not misrepresent the ownership or source of Data.
  • You will not obscure, remove, or change any copyright, trademark, or other proprietary notices.
  • You will not falsify or delete author attributions, legal notices, or other labels of origin or source of material.
  • You may not publicly release or disclose any data, usage statistics, or other information regarding the Data without express authorization.

8. Limitations

In no event shall Athena or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Athena’s website or API, even if Athena or an Athena authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

9. Accuracy of Materials

The materials appearing on Athena’s website could include technical, typographical, or photographic errors. Athena does not warrant that any of the materials on its website are accurate, complete, or current. Athena may make changes to the materials at any time without notice but does not commit to updating them.

10. Termination of Service

This license may be terminated by Athena at any time, with or without cause, with or without notice, effective immediately. In this case, any remaining paid period will be refunded pro-rata. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, waiver and release, indemnity, and limitations of liability.

11. Force Majeure

Athena shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, cyberattacks, labor disputes, or power failures.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be deemed modified to the extent necessary to make it enforceable or valid. If no such modification is possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Nevada, United States. Any disputes arising from these Terms or the use of Athena shall be resolved in the courts of Massachusetts, United States.

14. Entire Agreement

These Terms constitute the entire agreement between you and Athena regarding the use of the Service, superseding any prior agreements, communications, or understandings, whether oral or written.

15. Changes to Terms

We may update these Terms from time to time. The “Effective Date” at the top of these Terms indicates the latest revision. Continued use of our platform constitutes your acceptance of the updated Terms.
